LICENTIE- EN GEBRUIKERSVOORWAARDEN VAN BIPV.WORLD

 

1 DEFINITIES

1.1 In deze Voorwaarden hebben onderstaande begrippen de hiernavolgende betekenis:
BIPV.world: BIPV.world, statutair gevestigd en kantoorhoudende te (5145 PW) Waalwijk aan de Industrieweg 92a, Nederland, ingeschreven in het handelsregister van de Kamer van Koophandel onder nummer 17273236.
BIPV Projects: BIPV Projects, statutair gevestigd en kantoorhoudende te (5145 PW) Waalwijk aan de Industrieweg 92a, Nederland, ingeschreven in het handelsregister van de Kamer van Koophandel onder nummer 17273239.
Gebruikers: klanten of stakeholders van Licentienemer die door Licentienemer geautoriseerd zijn om toegang te krijgen tot het Platform.
Licentienemer: de partij die de Overeenkomst met BIPV.world is aangegaan. Een Licentienemer is over het algemeen een architect, ontwerper, constructeur of installateur die gebouw geïntegreerde zonnepanelen wenst toe te passen in of op gebouwen om bijvoorbeeld daarmee te voldoen aan de Nederlandse BENG-3 norm of Europese normen voor energieopwekking in de gebouwschil.
Overeenkomst: deze SaaS (software as a Service) overeenkomst tussen Licentienemer en BIPV.world waarvan deze Voorwaarden een onlosmakelijk deel uitmaken, met inbegrip van alle bijlagen, latere wijzigingen en/of aanvullingen daarop.
Platform: het platform dat via de huidige of toekomstige (mobiele) applicatie(s) of website(s) en onderliggende pagina’s van BIPV.world bereikbaar is en dat Licentienemers volledige en Gebruikers beperkte toegang biedt tot de SaaS.
Portal: is een omgeving binnen het Platform voor het ontwerpen en realiseren van een gebouw-, constructie-, of klant specifiek ontwerp.
SaaS: de online ‘software as a service’ oplossing voor het vergemakkelijken, vereenvoudigen, verbeteren en efficiënter maken van ontwerp- en realisatie processen van gebouw geïntegreerde fotovoltaïsche (Building Integrated PhotoVoltaic - BIPV) oplossingen die is ontwikkeld, wordt geëxploiteerd en onderhouden door BIPV.world.
Voorwaarden: deze Licentie- en Gebruikersvoorwaarden van BIPV.world.
Website: de website www.bipv.world van BIPV.world.

 

2. TOEPASSINGSGEBIED

2.1 Deze Voorwaarden zijn van toepassing op de Overeenkomst tussen BIPV.world en Licentienemer en het gebruik van het Platform door Gebruikers. Door gebruik te maken van het Platform accepteren Licentienemers en Gebruikers de toepasselijkheid van deze Voorwaarden.

2.2 Afwijkende contractuele voorwaarden van Licentienemer(s) en Gebruiker(s) worden hierbij uitdrukkelijk van de hand gewezen.

In geval van tegenstijdigheden tussen de inhoud van de Overeenkomst (exclusief Voorwaarden) en deze Voorwaarden, gaat het bepaalde in de Overeenkomst voor.

2.3 Zodra het ontwerpproces op het Platform is afgerond, is het mogelijk om via het Platform de BIPV prefab systemen en bijbehorende producten of diensten te bestellen. De verkoop en levering hiervan wordt uitgevoerd door BIPV Projects BV en op al deze transacties zijn de Algemene Verkoop- en 2.4 Leveringsvoorwaarden van BIPV Projects BV van toepassing.

2.5 Aan de kostenindicatie die vanuit het platform gegenereerd wordt kunnen geen rechten ontleend worden.

 

3. REGISTRATIE EN GEBRUIKSRECHT EN VERANTWOORDELIJKHEDEN

3.1 Een Licentienemer verkrijgt één persoonlijk gebruiksrecht op het Platform en de SaaS zoals bepaald in Artikel 9, nadat hij zich op de Website heeft geregistreerd en zich akkoord heeft verklaard met deze Voorwaarden. Het is niet toegestaan om licenties te delen met meerdere personen, iedere gebruiker moet over een eigen licentie beschikken.

3.2 Het gebruik van het Platform en resultaten daarvan zijn voor risico van de Licentienemer.

3.3 Een Gebruiker verkrijgt een beperkt, persoonlijk, herroepbaar, niet-exclusief en niet-overdraagbaar recht om gebruik te maken van het Platform nadat hij zich op de Website heeft geregistreerd en zich akkoord heeft verklaard met deze Voorwaarden. Een Gebruiker verkrijgt geen toegang tot de SaaS functionaliteiten zoals Licentienemer.

3.4 Om zich te registreren dient een Licentienemer of Gebruiker ten minste een geldige naam, (bedrijfs)adres, telefoonnummer en e-mailadres te worden opgegeven die gebruik maken van het BIPV.world online platform en, in geval van Licentienemer, het gebruiksrecht van de SaaS.

3.5 De Licentienemer of Gebruiker moet omwille van de dienstverlening worden geregistreerd om de Licentienemer evt. updates van de SaaS te doen toekomen, hem op nieuwe mogelijkheden van de SaaS te wijzen of om de Voorwaarden in de toekomst aan te passen of te herroepen.

3.6 De Licentienemer is zelf verantwoordelijk voor het onderhoud van de door hem of haar geregistreerde Projecten.

3.7 De Licentienemer is zelf verantwoordelijk voor: 1) het verlenen van de toegang aan Gebruikers die (on)beperkte toegang krijgen tot de informatie op het Platform m.b.t. zijn of haar Projecten en 2) het onderhoud met betrekking tot externe gebruikers met name het ontzeggen van toegang tot zijn of haar Projecten.

3.8 De Licentienemer is zelf verantwoordelijk voor het maken van afspraken over confidentialiteit met zijn of haar gekoppelde Gebruikers. BIPV.world sluit iedere aansprakelijkheid uit op dit punt.

 

4. EXPORT EN GEBRUIK VAN DATA

4.1 Het gebruik van het Platform resulteert in een overdracht van gegevens en data met betrekking tot de ontwerpen van Projecten (onder andere maar niet beperkt tot: aantal en type zonnepanelen, locatie van het gebouw) (Data) naar BIPV.world.

4.2 De Licentienemer geeft BIPV.world het recht om de Data te verwerken, te extraheren, te gebruiken en op te slaan. BIPV.world mag de Data gebruiken om de prestaties van het Platform te meten, te verbeteren en verder te ontwikkelen. BIPV.world mag de Data overdragen aan derde partijen of Gebruikers indien de Licentienemer de Data in het Platform heeft vrijgegeven voor overdracht aan Gebruikers of indien de Data worden geaggregeerd met als resultaat dat de Data anoniem wordt (dat wil zeggen: zonder de mogelijkheid om de Data te herleiden naar een individueel persoon, huishouden, bedrijf, gebouw of bedrijf waardoor de Data niet langer aan te merken is als persoonsgegeven).

4.3 De Licentienemer heeft via het Platform de mogelijkheid Data te delen met geregistreerde Gebruikers of nieuwe stakeholders (die zich dienen te registreren als Gebruikers). Het delen van Data met andere Gebruikers gebeurt uitsluitend in opdracht van Licentienemer op het moment dat Licentienemer deze functionaliteit van het Platform gebruikt. Licentienemer geeft daarmee BIPV.world toestemming om de zijn Data te delen met de door hem of haar geselecteerde Gebruikers. Ten aanzien van vertrouwelijkheid van de gedeelde informatie met Gebruikers wordt verwezen naar Artikel 3.7 en Artikel 3.8.

 

5. PERSOONSGEGEVENS

5.1 Wanneer Licentienemer of Gebruiker zich aanmeldt op het Platform, verzamelt BIPV.world bepaalde persoonsgegevens, waaronder telefoonnummer, e-mailadres, naam, bedrijfsnaam, bedrijfsadres, Projectnaam en andere Projectgegevens, de wijze en intensiteit van gebruik van het Platform.

5.2 BIPV.world heeft technische- en organisatorische maatregelen genomen om door BIPV.world verwerkte persoonsgegevens te beschermen tegen ongeautoriseerde toegang en ongeoorloofd gebruik van Data door middel van encryptie, antivirussoftware en beleidsmaatregelen. Raadpleeg het 5.3 Privacy Statement https://bipv.world/privacy-statement van BIPV.world voor verdere informatie over de verwerking van persoonsgegevens door BIPV.world.

 

6. BIPV.WORLD VERANTWOORDELIJKHEDEN EN VERPLICHTINGEN

6.1 BIPV.world behoudt zich het recht voor om het Platform en Overeenkomst op ieder moment te wijzigen of te stoppen. BIPV.world streeft erna om de Licentienemer of Gebruiker ruim van tevoren hierover te informeren.

6.2 BIPV.world doet geen aanbeveling aan Licentienemers of Gebruikers ten aanzien van derde partijen (aanbieders) en accepteert met betrekking tot deze partijen geen verantwoordelijkheid of aansprakelijkheid ten aanzien van hun offertes, de verwerking en het gebruik van Data, contracten, prijzen, commerciële condities en handelswijze in het algemeen.

6.3 Tenzij anders overeengekomen (zie Artikel 6.4), dienen Licentienemer of Gebruiker zelf te beoordelen, en dragen zij zelf het risico in relatie tot accuratesse, compleetheid en geschiktheid van enig resultaat van de SaaS. BIPV.world voert geen screening, monitoring of beoordeling uit op de SaaS output en is op geen enkele wijze verantwoordelijk voor de gepresenteerde technische of commerciële output.

6.4 Indien een Licentienemer of Gebruiker Artikel 6.3 wenst uit te sluiten dient aan BIPV.world een schriftelijke opdracht gegeven te worden om, tegen een overeengekomen vergoeding, de uitgangspunten van het Project, het Project ontwerp en de uitkomsten van het SaaS ontwerp te beoordelen. Voor deze dienstverlening zijn additionele voorwaarden en condities van toepassing.

 

7. GARANTIES BEPERKING VAN AANSPRAKELIJKHEID EN DISCLAIMER

7.1 Toegang tot het Platform wordt aan de Licentienemer en Gebruikers verleend op 'as-is’ basis. BIPV.world zal echter redelijke inspanningen leveren in overeenstemming met de geldende normen in de branche om het Platform te onderhouden op een manier die fouten en onderbrekingen in het Platform tot een zoveel mogelijk beperkt. Het Platform kan tijdelijk niet beschikbaar zijn voor (gepland) (nood)onderhoud. BIPV.world zal redelijke inspanningen leveren om gepland onderhoud vooraf schriftelijk te melden.

7.2 Voor zover toegestaan door de wet, wijst BIPV.world garanties uitdrukkelijk of impliciet van de hand, met inbegrip van de impliciete garanties van het niet maken van inbreuk en geschiktheid voor een bepaald doel. BIPV.world gaat geen verplichtingen aan over de inhoud van het Platform. BIPV.world wijst verder elke garantie af dat (a) het Platform zal voldoen aan de eisen van Licentienemer of voortdurend beschikbaar, ononderbroken, tijdig, veilig of foutloos zal zijn; (b) de resultaten die kunnen worden verkregen uit het gebruik van het Platform effectief, accuraat of betrouwbaar zullen zijn (de informatie die via het Platform wordt gevonden kan bijvoorbeeld fouten of onnauwkeurigheden bevatten en is mogelijk niet volledig of actueel. Producten kunnen verkeerd worden geprijsd, onnauwkeurig worden beschreven of niet beschikbaar zijn via het Platform); (c) de kwaliteit van het Platform zal voldoen aan de verwachtingen van Licentienemer en/of Gebruikers; of (d) eventuele fouten of gebreken in het Platform zullen worden gecorrigeerd.

7.3 Voor zover niet verboden op basis van toepasselijke wetgeving, is BIPV.world in geen geval aansprakelijk voor persoonlijk letsel of enige incidentele, speciale, indirecte of gevolgschade van welke aard dan ook, met inbegrip van, maar niet beperkt tot, schade voor winstderving, verlies van gegevens, bedrijfsonderbreking, of enige andere commerciële schade of verlies, voortvloeiend uit of verband houdend met het gebruik van de SaaS door de Klant of de onmogelijkheid om de SaaS te gebruiken, hoe dan ook veroorzaakt, ongeacht de basis van de aansprakelijkheid (wanprestatie, onrechtmatige daad, of anderszins), en zelfs indien BIPV.world op de hoogte is gesteld van de mogelijkheid van dergelijke schade. De Klant mag de SaaS naar eigen goeddunken en op eigen risico gebruiken, en de Klant is als enige verantwoordelijk voor eventuele schade aan of verlies van het computersysteem van de Klant die rechtstreeks voortvloeit uit het gebruik van de SaaS door de Klant of Gebruikers.

 

8. FEES

8.1 Het gebruik van het Platform met de freemium functies is gratis voor Licentienemers. De premium functionaliteiten zijn de eerste maand gratis voor Licentienemers. Na verloop van deze periode ontvangt Licentienemer een aanbieding voor het betaalde gebruik van het Platform. Accepteert Licentienemer het aanbod niet, dan wordt het verdere gebruik van de premium functionaliteiten Platform afgesloten.

8.2 Het gebruik van het Platform is gratis voor Gebruikers.

8.3 De tarieven zijn maandelijks vooraf betaalbaar, onherroepelijk en niet-terug betaalbaar, tenzij anders bepaald in de Overeenkomst.

8.4 Alle door BIPV.world genoemde tarieven zijn exclusief BTW en eventuele andere heffingen van overheidswege die voor rekening van de Licentienemer komen.

8.5 BIPV.world behoudt zich het recht voor om de kosten voor gebruik van het Platform in de toekomst aan te passen met inachtneming van een aankondigingstermijn van vier weken. Indien de Licentienemer de Overeenkomst niet binnen vier weken na kennisgeving van de prijsverhoging opzegt, wordt de Licentienemer geacht de prijsverhoging te hebben aanvaard.

 

9 OMVANG VAN DE GEBRUIKSRECHTEN LICENTIENEMERS EN BOETEBEDING

9.1 Nadat de Licentienemer zich heeft geregistreerd en zich akkoord heeft verklaard met deze Voorwaarden, heeft hij het recht om het Platform voor zijn bedrijfsactiviteiten aan te wenden uitgaande van de goede intentie bij Licentienemer om de producten en diensten van BIPV.world in te zetten of toe te passen.

9.2 Aan de Licentienemer wordt slechts een enkelvoudig, niet-exclusief, niet-overdraagbaar persoonlijk, herroepbaar, gebruiksrecht verleend uitsluitend voor eigen (bedrijfs)gebruik.  

9.3 Alle auteurs- en aanverwante rechten ten aanzien van het Platform, de SaaS en functionaliteit alsook publicatie-, vermenigvuldigings-, bewerkings-, terbeschikkingstellings- en andere gebruiksrechten blijven net als alle octrooirechten uitsluitend aan BIPV.world voorbehouden.

9.4 De Licentienemer mag het Platform en de SaaS en functionaliteit uitsluitend voor eigen gebruik aanwenden. Het is uitdrukkelijk NIET toegestaan om: 

• de software te vermenigvuldiging van de software om aan derden door te geven;
• de software en functionaliteit na te bouwen (reverse engineering) of de precieze werking te achterhalen.
• Het Platform, de SaaS en functionaliteit, te gebruiken of te kopiëren ten behoeve van de ontwikkeling van een concurrerende SaaS propositie of SaaS methodiek of concurrerend businessmodel.

9.5 Bij overtreding van het in dit Artikel 9.1 en 9.2 bepaalde zal Licentienemer of Gebruiker aan BIPV.world een onmiddellijk opeisbare boete betalen van € 10.000,- per overtreding en € 1.000,- per dag dat de overtreding voortduurt met een maximum van € 50.000,- per overtreding, los van het recht op volledige schadevergoeding van BIPV.world.

9.6 Bij overtreding van het in Artikel 9.4 bepaalde zal Licentienemer aan BIPV.world een onmiddellijk opeisbare boete betalen van € 200.000,- per overtreding en € 10.000,- per dag dat de overtreding voortduurt met een maximum van €10.000.000,- per overtreding, los van het recht op volledige schadevergoeding van BIPV.world.

 

10. SLOTBEPALINGEN

10.1 Het gebruik van het BIPV.world online platform, de SaaS functionaliteit vereist (bij gebruik) een stabiele internetverbinding. De plug-in moet lokaal op de computer geïnstalleerd zijn naast de Autodesk Revit software van Licentienemer. Het is aan Licentienemer om te voorzien in zo’n internetverbinding en de lokale installatie.

10.2 BIPV.world heeft het recht om de dienstverlening en de Overeenkomst op ieder moment te stoppen met iedere Licentienemer of Gebruiker.

10.3 BIPV.world heeft het recht om deze Voorwaarden op ieder moment te wijzigen, en Licentienemer(s) en Gebruiker(s) per e-mail 2 weken vooraf op de hoogte brengen van dergelijke wijziging. Bij een wijziging van de licentievoorwaarden treden deze 2 weken na de datum van kennisgeving in werking. Door gebruik te blijven maken van het Platform accepteren Licentienemers en Gebruikers de laatste versie van deze Voorwaarden.

10.4 Indien afzonderlijke bepalingen van deze Voorwaarden ongeldig zouden zijn of onuitvoerbaar zouden worden, wordt de geldigheid van de overige bepalingen hierdoor niet aangetast. In de plaats van de ongeldige of onuitvoerbare bepaling zullen de partijen een regeling overeenkomen die zo dicht mogelijk in de buurt komt van het economische doel van de ongeldige of onuitvoerbare regeling.

 

11 TOEPASSELIJK RECHT EN BEVOEGDE RECHTER

11.1 Op deze Voorwaarden, de Overeenkomst en het gebruik van het Platform door Licentienemer en/of Gebruikers is uitsluitend het Nederlands recht van toepassing.

11.2 In geval van geschillen die voortvloeien uit of verband houden met deze Voorwaarden streven de partijen naar een minnelijke schikking. Indien partijen daartoe niet in staat zijn, zal het geschil worden voorgelegd aan de bevoegde rechter van Rechtbank Zeeland-West-Brabant, Nederland.

LICENCE AND TERMS OF USE OF BIPV.WORLD

 

1. DEFINITIONS

1.1 In these Conditions, the terms below shall have the following meanings:

BIPV.world: BIPV.world, having its registered office and place of business in (5145 PW) Waalwijk at Industrieweg 92a, the Netherlands, registered in the trade register of the Chamber of Commerce under number 17273236.

BIPV Projects: BIPV Projects, having its registered office and place of business in (5145 PW) Waalwijk at Industrieweg 92a, the Netherlands, registered in the trade register of the Chamber of Commerce under number 17273239

Users: customers or stakeholders of Licensee authorized by Licensee to access the Platform.

Licensee: the party that has entered into the Agreement with BIPV.world. A Licensee is generally an architect, designer, constructor or installer who wishes to apply building-integrated solar panels in or on buildings in order, for example, to comply with the Dutch BENG-3 standard or European standards for energy generation in the building envelope.

Agreement: this SaaS (software as a Service) Agreement between Licensee and BIPV.world of which these Terms and Conditions form an inseparable part, including all attachments, subsequent amendments and/or supplements thereto.

Platform: the platform that is accessible via BIPV.world's current or future (mobile) application(s) or website(s) and underlying pages and that provides Licensee with full and Users with limited access to the SaaS.

Portal: is an environment within the Platform for designing and realising a building, construction, or customer-specific design.

SaaS: the online 'software as a service' solution for facilitating, simplifying, improving and making more efficient the design and realization processes of Building Integrated PhotoVoltaic (BIPV) solutions developed, operated and maintained by BIPV.world.

Terms: these Licence and Terms of Use of BIPV.world.

Website: the website www.bipv.world of BIPV.world.

 

2. SCOPE

2.1 These Conditions apply to the Agreement between BIPV.world and Licensee and the use of the Platform by Users. By using the Platform, Licensees and Users accept the applicability of these Conditions.

2.2. Differing contractual conditions of Licensee(s) and User(s) are hereby expressly rejected.

2.3 In case of contradictions between the content of the Agreement (excluding Conditions) and these Conditions, the provisions of the Agreement take precedence.

2.4 Once the design process is completed on the Platform, it is possible to order the BIPV prefabricated systems and related products or services via the Platform. The sale and delivery thereof is carried out by BIPV Projects BV and all such transactions are subject to the General Terms and Conditions of Sale and Delivery of BIPV Projects BV.

2.5 No rights can be derived from the cost indication generated from the platform.

 

3. REGISTRATION AND RIGHT OF USE AND RESPONSIBILITIES

3.1 A Licensee acquires one personal right to use the Platform and the SaaS as stipulated in Article 9, after registering on the Website and agreeing to these Terms and Conditions. It is not permitted to share licenses with several persons, each user must have his/her own license.

The use of the Platform and results thereof are at the risk of the Licensee.

3.2 A User acquires a limited, personal, revocable, non-exclusive and non-transferable right to use the Platform after registering on the Website and agreeing to these Terms and Conditions. A User does not obtain access to the SaaS functionalities in the same way as Licensee.

3.3 To register, a Licensee or User must provide at least a valid name, (business) address, telephone number and e-mail address using the BIPV.world online platform and, in the case of Licensee, the right to use the SaaS.

3.4 For the sake of service, the Licensee or User must be registered to send the Licensee any updates of the SaaS, to alert him to new features of the SaaS or to modify or revoke the Terms and Conditions in the future.

3.5 The Licensee is responsible for the maintenance of the Projects he or she has registered.

3.6 The Licensee is solely responsible for: 1) granting access to Users who are granted (un)restricted access to the information on the Platform relating to his or her Projects and 2) the maintenance regarding external users in particular denying access to his or her Projects.

3.7 The Licensee is responsible for making confidentiality agreements with his or her linked Users. BIPV.world excludes any liability in this respect.

 

4. EXPORT AND USE OF DATA

4.1 The use of the Platform results in a transfer of data and data relating to the designs of Projects (including but not limited to: number and type of solar panels, location of the building) (Data) to BIPV.world.

4.2 The Licensee grants BIPV.world the right to process, extract, use and store the Data. BIPV.world may use the Data to measure, improve and further develop the performance of the Platform. BIPV.world may transfer the Data to third parties or Users if the Licensee has released the Data in the Platform for transfer to Users or if the Data is aggregated with the result that the Data becomes anonymous (i.e. without the possibility of tracing the Data back to an individual person, household, company, building or business as a result of which the Data no longer qualifies as personal data).

4.3 The Licensee has the possibility via the Platform to share Data with registered Users or new stakeholders (who must register as Users). The sharing of Data with other Users occurs exclusively at the instruction of Licensee at the moment Licensee uses this functionality of the Platform. Licensee thereby authorizes BIPV.world to share its Data with its selected Users. With regard to confidentiality of the information shared with Users, reference is made to Article 3.7 and Article 3.8.

 

5. PERSONAL DATA

5.1 When Licensee or User logs on to the Platform, BIPV.world collects certain personal data, including telephone number, email address, name, company name, company address, Project name and other Project data, the manner and intensity of use of the Platform.

5.2 BIPV.world has taken technical and organisational measures to protect personal data processed by BIPV.world against unauthorised access and unauthorised use of Data through encryption, anti-virus software and policies. Please refer to BIPV.world's Privacy Statement https://bipv.world/privacy-statement for further information on the processing of personal data by BIPV.world.

 

6. BIPV.WORLD RESPONSIBILITIES AND OBLIGATIONS

6.1 BIPV.world reserves the right to change or discontinue the Platform and Agreement at any time. BIPV.world endeavors to inform Licensee or User well in advance.

6.2 BIPV.world makes no recommendation to Licensees or Users in respect of third parties (providers) and accepts no responsibility or liability in respect of such parties in relation to their offers, the processing and use of Data, contracts, prices, commercial conditions and conduct in general.

6.3 Unless otherwise agreed (see Article 6.4), Licensee or User shall themselves assess, and bear the risk in relation to accuracy, completeness and suitability of any result of the SaaS. BIPV.world does not perform any screening, monitoring or assessment on the SaaS output and is in no way responsible for the technical or commercial output presented.

6.4 If a Licensee or User wishes to exclude Clause 6.3, a written assignment must be given to BIPV.world to assess, for an agreed fee, the assumptions of the Project, the Project design and the outcomes of the SaaS design. Additional terms and conditions apply to this service.

 

7 WARRANTIES LIMITATION OF LIABILITY AND DISCLAIMER

7.1 Access to the Platform is provided to Licensee and Users on an 'as-is' basis. However, BIPV.world will make reasonable efforts in accordance with applicable industry standards to maintain the Platform in a manner that minimizes faults and interruptions in the Platform. The Platform may be temporarily unavailable for (planned) (emergency) maintenance. BIPV.world will make reasonable efforts to give prior written notice of planned maintenance.

7.2 To the extent permitted by law, BIPV.world disclaims warranties, express or implied, including the implied warranties of non-infringement and fitness for a particular purpose. BIPV.world makes no commitments about the content of the Platform. BIPV.world further disclaims any warranties that (a) the Platform will meet Licensee's requirements or will be continuously available, uninterrupted, timely, secure or error-free; (b) the results that may be obtained from the use of the Platform will be effective, accurate or reliable (e.g. the information found through the Platform may contain errors or inaccuracies and may not be complete or current. Products may be incorrectly priced, inaccurately described or unavailable through the Platform); (c) the quality of the Platform will meet the expectations of Licensee and/or Users; or (d) any errors or defects in the Platform will be corrected.

7.3 To the extent not prohibited by applicable law, BIPV. world shall in no event be liable for personal injury or any incidental, special, indirect or consequential damages of any kind, including, but not limited to, damages for loss of profits, loss of data, business interruption, or any other commercial damage or loss arising out of or in connection with the Customer's use or inability to use the SaaS, however caused, regardless of the basis of liability (breach of contract, tort, or otherwise), and even if BIPV.world has been advised of the possibility of such damages. The Customer may use the SaaS at its sole discretion and risk, and the Customer shall be solely responsible for any damage to or loss of the Customer's computer system directly resulting from the Customer's or Users' use of the SaaS.

 

8. FEES

8.1 Use of the Platform with the freemium features is free for Licensees. The premium functionalities are free for Licensees for the first month. After this period, Licensee will receive an offer for the paid use of the Platform. If Licensee does not accept the offer, further use of the premium functionalities Platform will be closed.

8.2 Use of the Platform is free of charge for Users.

8.3 Fees are payable monthly in advance, irrevocable and non-refundable, unless otherwise stipulated in the Agreement.

8.4 All tariffs quoted by BIPV.world are exclusive of VAT and any other government levies payable by the Licensee.

8.5 BIPV.world reserves the right to adjust the fees for use of the Platform in the future subject to four weeks' notice. If the Licensee does not cancel the Agreement within four weeks of notification of the price increase, the Licensee shall be deemed to have accepted the price increase.

 

9. SCOPE OF LICENSEE'S RIGHTS OF USE AND PENALTY CLAUSE

9.1 After the Licensee has registered and agreed to these Conditions, it has the right to use the Platform for its business activities based on the Licensee's good intention to deploy or apply BIPV.world's products and services.

9.2 The Licensee is granted only a single, non-exclusive, non-transferable personal, revocable, right of use solely for its own (business) use. 

9.3 All copyrights and related rights in respect of the Platform, the SaaS and functionality as well as publication, reproduction, editing, making available and other usage rights as well as all patent rights shall remain exclusively reserved to BIPV.world.

9.4 The Licensee may only use the Platform and the SaaS and functionality for its own use. It is expressly NOT permitted to: 

•  reproduce the software in order to pass it on to third parties;
• rebuild the software and functionality (reverse engineering) or determine its exact operation.
• Use or copy the Platform, the SaaS and functionality, for the purpose of developing a competing SaaS proposition or SaaS methodology or competing business model.

9.5In the event of breach of the provisions of this Article 9.1 and 9.2, Licensee or User shall pay BIPV.world an immediately payable fine of €10,000 for each breach and €1,000 for each day that the breach continues with a maximum of €50,000 for each breach, irrespective of BIPV.world's right to full compensation for damages.

9.6 If the provisions of Clause 9.4 are breached, Licensee shall pay BIPV.world an immediately payable fine of €200,000 for each breach and €10,000 for each day that the breach continues with a maximum of €10,000,000 for each breach, irrespective of BIPV.world's right to full damages.

 

10. FINAL PROVISIONS

10.1 The use of the BIPV.world online platform, the SaaS functionality requires (when used) a stable internet connection. The plug-in must be installed locally on the computer alongside Licensee's Autodesk Revit software. It is up to Licensee to provide such an internet connection and local installation.

10.2 BIPV.world has the right to terminate the service and the Agreement at any time with any Licensee or User.

10.3 BIPV.world has the right to amend these Terms at any time, and notify Licensee(s) and User(s) by email 2 weeks in advance of such amendment. In the event of a change in the Licence Terms and Conditions, they will come into effect 2 weeks after the date of notification. By continuing to use the Platform, Licensees and Users accept the latest version of these Terms and Conditions.

10.4 Should individual provisions of these Terms and Conditions be invalid or become unenforceable, the validity of the remaining provisions shall not be affected. In place of the invalid or unenforceable provision, the parties shall agree on an arrangement that comes as close as possible to the economic purpose of the invalid or unenforceable provision.

 

11 APPLICABLE LAW AND COMPETENT COURT

11.1 These Terms and Conditions, the Agreement and the use of the Platform by Licensee and/or Users are governed exclusively by Dutch law.

11.2 In the event of disputes arising from or related to these Terms and Conditions, the parties will endeavour to reach an amicable settlement. If the parties are unable to do so, the dispute will be submitted to the competent court of the District Court of Zeeland-West Brabant, the Netherlands.
